OfferDesk CRM Terms of Service

Version 2026-09-28. These terms govern your use of the OfferDesk CRM at app.offerdeskcrm.com. You accept them when you create or use a workspace, and again whenever this version changes. The training products sold on this site have their own terms of sale.

Who provides OfferDesk

OfferDesk is provided by Adham Barakat, trading as Offer Desk ("we", "us"). When the company that will operate OfferDesk is formed, these terms will be transferred to it and we will tell you. Questions to support@offerdeskcrm.com.

What OfferDesk is

OfferDesk is software. It stores your leads, deals, tasks and notes, and it gives you tools to call, text and email the people in it. We provide the tools. You decide who is contacted, when, how, and with what message. Every call, text and email sent from your workspace is sent by you, on your behalf, and not by us.

Your calls, texts and recordings are your responsibility

Laws on calling, texting and recording differ by country, state and situation, and they change. You, and each person you let into your workspace, are solely responsible for making sure every communication from your workspace is lawful. That includes, without limit:

  • Consent. Having, and being able to prove, whatever consent the law requires before you call or text someone, including prior express written consent where required, under the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, and state laws such as those of Florida, Oklahoma and Texas.
  • Do Not Call. Checking numbers against the National Do Not Call Registry and any state and internal do-not-call lists before calling or texting them, and keeping your registry access current.
  • Opt-outs. Honouring every request to stop, in any words and on any channel, promptly and permanently. OfferDesk blocks texts to numbers that replied STOP, but you remain responsible for requests made any other way.
  • Calling hours and frequency limits in the recipient's time zone and state.
  • Call recording. Getting the consent the law requires before recording, including from everyone on the call in states that require all-party consent. Recording is on by default and the recording announcement is off by default. Before you record any call you must decide whether the announcement is needed for your calls and set it in Settings. We do not make that decision for you.
  • Carrier rules and registration. Registering your business and texting campaigns where carriers require it (for example 10DLC in the United States), and following carrier content and volume rules.
  • Identification. Saying who you are and on whose behalf you are calling, and sending accurate caller ID.
  • Artificial voices and automated sending. Using prerecorded or artificial voices, or automated sending, only where you have the consent the law requires.

OfferDesk includes some safeguards, such as STOP handling, quiet-hour warnings and consent records. They are tools to help you, not a promise that your use is lawful. Their presence does not move your responsibility to us. Nothing we say, in the app, on this site or in support, is legal advice. If you are unsure whether something is allowed, ask a lawyer before you do it.

What you must not do

  • Contact anyone without a lawful basis, or anyone who asked not to be contacted.
  • Send spam, bulk messages to purchased or scraped lists without consent, or messages that are misleading about who you are or what you want.
  • Harass, threaten or deceive anyone, or use OfferDesk for any unlawful purpose.
  • Upload data you have no right to use, or try to reach another customer's data.
  • Try to break, overload or get around the limits and safeguards of the service.

Suspension

We may pause calling, texting or your whole workspace, without notice where the risk is urgent, if we reasonably believe your use breaks these terms or the law, puts other customers or our telephone and messaging providers at risk, or draws complaints or carrier action. We will tell you why and, where we can, give you the chance to fix it.

You cover the cost of your own communications

You agree to defend and compensate us, and anyone working for us, for any claim, fine, penalty, damages, settlement and reasonable legal costs arising from the calls, texts, emails and recordings made from your workspace, from the data you put into it, or from your breach of these terms or the law. This applies whether a claim is brought against you, against us, or against both.

Your data

The leads and records in your workspace belong to you. We use them only to run the service for you, keep them secure, and do not sell them. You can export them at any time. How we handle personal data is described in our privacy policy.

The beta

OfferDesk is in beta. Features change, some are not finished, and there will be mistakes. Keep your own copy of anything you cannot afford to lose. Prices, allowances and beta discounts are agreed with you before you are charged anything.

Fees and refunds

Paid plans, when they start, are billed in advance. The refund terms for the CRM are in our terms of sale. Calling, texting and AI usage beyond your plan's allowance is charged at the rates shown before you incur it.

No guarantees

OfferDesk is provided as it is and as available. We do not promise that it will be uninterrupted or error-free, that any message or call will be delivered, or that your use of it complies with any law. To the fullest extent the law allows, we exclude every warranty not stated in these terms.

Limit on our liability

To the fullest extent the law allows, we are not liable for any lost profits, lost deals, lost data or indirect or consequential loss, and our total liability to you for everything relating to OfferDesk is limited to the fees you paid us in the three months before the claim arose. Nothing in these terms limits liability that the law does not allow to be limited.

Ending

You can stop using OfferDesk and close your workspace at any time. We may end these terms with 30 days' notice, or at once for a serious breach. The sections on your responsibility for communications, compensation, liability and data survive the end.

Changes

We may update these terms. Each version has a date. When the version changes, the app asks you to accept the new one before you continue, and we keep a record of who accepted which version and when.
